The reasonable investor test in the EU capital market law

Abstract

Przedmiotem rozprawy doktorskiej jest normatywna koncepcja racjonalnego inwestora będąca jednym z czterech elementów składających się na definicję informacji poufnej (art. 7 ust. 1 i 4 rozporządzenia 596/2014). Rozdział pierwszy prezentuje normatywną koncepcję testu racjonalnego inwestora w perspektywie kształtowania się polskiego i unijnego prawa rynku kapitałowego. W rozdziale tym podjąłem się także próby rozstrzygnięcia teoretycznego problemu dotyczącego samej konstrukcji definicji informacji poufnej, a w niej normatywnej koncepcji testu racjonalnego inwestora. Rozdział drugi został w całości poświęcony orzecznictwu, nie ograniczając się jedynie do prawa polskiego, lecz także uwzględniając praktykę orzeczniczą sądów amerykańskich oraz TSUE. Rozdział trzeci poświęcony został analizie literatury ekonomicznej. Rozdział czwarty prezentuje normatywną koncepcję testu racjonalnego inwestora, która do tej pory nie została w kompleksowy sposób omówiona w literaturze przedmiotu. W dalszej kolejności prezentuję znaczenie normatywnej koncepcji testu racjonalnego inwestora z perspektywy celów MAR oraz skutków przyjęcia określonego kierunku wykładni. Pozwala to lepiej zrozumieć znaczenie i oczekiwania, jakie rzeczywistość stawia regulacji zwalczającej nadużycia na rynku. Rozdział piąty stanowi uszczegółowienie problematyki badawczej. Wykorzystując wiedzę z zakresu znaczenia normatywnej koncepcji testu racjonalnego inwestora zaprezentowaną we wcześniejszych rozdziałach rozprawy doktorskiej, podjąłem się próby ukazania poszczególnych problemów badawczych w nowym świetle.
The subject of doctoral dissertation is the normative concept of the reasonable investor, which is one of the four elements that make up the definition of inside information (Article 7(1) and (4) Regulation No. 596/2014). The first chapter presents the normative concept of the reasonable investor test in the perspective of the formation of Polish and EU capital market law. In this chapter I have also attempted to solve the theoretical problem concerning the very construction of the definition of inside information, and within it the normative concept of the reasonable investor test. The second chapter is entirely devoted to the case-law, not only limited to Polish law, but also taking into account the case law of American courts and the CJEU. The third chapter is devoted to the analysis of the economic literature. The fourth chapter presents the normative concept of the reasonable investor test, which has not been comprehensively discussed in the literature so far. Next, I present the meaning of the normative concept of the reasonable investor test from the perspective of the MAR objectives and the effects of adopting a specific direction of interpretation. Thanks to this critical analysis, I attempt to formulate de lege ferenda postulates. Chapter five details the research problem. Using the knowledge of the meaning of the normative concept of the reasonable investor test presented in the previous chapters of the doctoral dissertation, I made an attempt to present particular research problems in a new light.
