Abstract

Od lat ’80 XX w. swoistym fenomenem obrotu gospodarczego są wykupy menedżerskie (MBOs). Instytucją prawną o kluczowym znaczeniu dla wykupów menedżerskich jest tzw. „financial assistance”, tj. finansowanie przez spółkę nabywania lub obejmowania emitowanych przez nią akcji. Ani instytucja ta, ani całościowa problematyka wykupów menedżerskich nie doczekały się dotychczas szczegółowych analiz prawnych. Celem naukowym pracy jest zaprezentowanie nowej wiedzy na temat instytucji „financial assistance” oraz wykupów menedżerskich. Za cel nadrzędny pracy należy uznać wyjaśnienie, czy de lege lata finansowanie wykupów menedżerskich - w ich różnych postaciach - z aktywów spółek wykupowanych jest prawnie dopuszczalne.

The so-called management buyouts (MBO), which concern "buying companies with their own assets", have been a phenomenon of business trading since the 1980s. A legal measure of a fundamental importance for the management buyout is the so-called "financial assistance", that is financing by the company the acquisition or subscription of its own shares. Neither this measure nor the overall aspects of management buyouts have, so far, lived to see their detailed legal analysis. The scientific aim of the work is to obtain and present new knowledge on the institution of "financial assistance" and management buyouts in general. The principal aim is to find out whether de lege lata financing management buyouts - in their various forms - with companies' own assets is legally permitted.
